Legal Executive

We’re hiring a Legal Executive to join our client’s team in Gibraltar.

What you’ll do:

  • Drafting and review of trust documents, constitutional documents,
    correspondence, legal agreements, notices and other documentation relating to private
    companies and trusts including, but not limited to, loan agreements, assignment
    agreements, share purchase agreements, aviation lease agreements and option
    agreements.
  • Completing company secretarial matters including drafting of minutes and resolutions
    and maintaining corporate records of client companies.
  • Assistance with administration of trusts and drafting of relevant trust deeds and
    instruments.
  • Negotiating and communicating with third parties in respect of the administration of the
    trusts and client companies, including promoters, investment managers, financial
    advisors and service providers to the client companies and trusts.
  • Project management relating to various legal transactions.
  • Ad hoc legal and/or compliance research across a range of jurisdictions e.g. Gibraltar,
    British Virgin Islands, Cayman Islands, Malta, United Kingdom, etc.
  • Preparation of client proposals in respect of the establishment of trusts and related
    corporate entities, establishment of investment funds, and provision of corporate, trustee
    and administrative support and services for the same.
  • Drafting and proof-reading of investment fund documentation, including private
    placement memoranda, counterparty agreements, communications with regulatory
    authorities in offshore jurisdictions (British Virgin Islands, Cayman Islands and Gibraltar)
    and communications with investors and shareholders.
  • Providing general legal and/or compliance support (in conjunction with the Head of
    Compliance), training, and assistance to colleagues.
  • Providing assistance to the Head of Compliance on contractual document review and
    internal projects, drafting, reviewing and implementing compliance procedures and
    policies, CRS/FATCA reporting, assisting with risk assessments and file reviews, and
    management/ checking of annual schedules in respect of risk monitoring, in preparation
    for sign off by the Risk Committee.
  • Understanding of complex legal and commercial documents e.g. share purchase
    agreements, option agreements, and financing arrangements, in order to make informed
    opinions as to the documents and to raise informed questions with the aim of providing
    solutions to the needs of clients.
  • Understanding of company management requirements and of corporate and trust
    structures.
  • Understanding of and ability to succinctly summarise and advise on relevant regulations
    and legislation applicable to the business and its clients.
  • Produce accurate legal documentation in accordance with relevant regulations.
  • Proactive attitude with an ability to work on own initiative and carry work to completion
    without continuous supervision.
  • Strong attention to detail in respect of reviewing work.
  • Excellent communication skills, having the ability to prepare thoughtful correspondence
    with internal and external parties and to communicate clearly with the Board.
  • Able to manage time-sensitive projects, juggle competing priorities and to adjust to
    changing deadlines and requirements, as required.
  • Able to produce accurate work in a tight timeframe.
  • Solutions orientated, with an ability to think critically, as well as creatively, with a
    commercial focus.

What you’ll need:
• A legal professional qualification and/or equivalent experience.
• Experience in working within a law firm or commercial legal department. It is an added
benefit if such is in connection with private client, trust company and/or offshore funds
experience.
• Compliance support experience, with good knowledge and proven application of AML,
CRS/FATCA reporting, DAC6 reporting and other related compliance considerations
relevant to the role.
• Company secretary or management work.
• Legal research techniques.
